Bolder is an international provider of corporate, private, fund and governance services to a wide array of clients from its offices located around the globe. As part of our rapid expansion in Asia, we are currently searching for a Senior Governance Officer for our Philippines office. In this role, you will have the opportunity to be part of our globally based Governance team, to work on various governance related duties and to assist in managing a team of Governance experts.

Responsibilities:

  • Leading and overseeing a wide range of daily operations within the Governance team, including the preparation, review and approval of diverse legal documents and filings with multiple regulatory authorities across various jurisdictions.

  • Drafting, developing and continuously optimizing standardized and bespoke legal documentation as part of Bolder's extensive Governance services, such as letters, minutes, resolutions, agreements and complex corporate instruments.

  • Managing and enhancing the client onboarding process, including overseeing bank account openings for clients, maintaining high-level communication and coordination with financial institutions, while ensuring comprehensive know your customer and due diligence documentation is gathered and reviewed in line with global compliance standards.

  • Ensuring exceptional service delivery to clients through effective cross - functional communication, prompt issue resolution and continuous process improvement recommendations.

  • Directing and providing strategic oversight of AML, regulatory reporting and tax compliance services to clients, ensuring all regulatory obligations are met and risk management protocols are firmly in place.

  • Monitoring changes in corporate governance standards, regulatory requirements and industry best practices, proactively updating internal policies and advising management and clients on implications for their operations.

  • Taking the lead in training, mentoring and developing junior team members fostering a culture of knowledge-sharing and continuous professional growth within the department.

  • Identifying opportunities to expand Bolder’s governance service offering in Asia, supporting business development initiatives and participating in client pitches and presentations as a subject matter expert.

  • Representing the company in external forums, industry associations, and regulatory engagements, strengthening Bolder’s brand and network in the governance landscape.

  • Performing additional duties and spearheading special projects or ad hoc assignments as required, to support the evolving needs of the business and our clients.

Job requirements

Ideal skills and competencies:

  • Extensive Professional Experience: Ideally, candidates will possess more than 10 years of progressive experience within financial or legal organizations, having held roles that demand advanced governance, compliance and regulatory expertise. This background provides a deep understanding of complex corporate environments and the ability to navigate evolving industry standards.

  • Exceptional Data Management Abilities: Proven skill in managing large volumes of sensitive and intricate data with precision and efficiency is essential. The role requires meticulous attention to detail, robust organizational skills and the capacity to implement rigorous data-handling protocols that ensure integrity and confidentiality.

  • Collaborative Team Player: Demonstrated ability to work harmoniously within cross-functional teams is crucial. The successful candidate will be proactive, resourceful and client-focused, consistently prioritizing service excellence and punctuality in a fast-paced environment.

  • Outstanding Communication Skills: Fluency in written and spoken English is mandatory, with the ability to convey complex legal and regulatory concepts clearly and effectively to diverse audiences, both internally and externally.

  • Strong interpersonal skills foster productive relationships with clients, colleagues and stakeholders.

  • Leadership and Mentorship: Strong leadership qualities, including experience guiding and developing junior team members, are highly valued.
