Job description

Bolder Group is an international provider of corporate, private, fund, and governance services to a wide range of clients across its global offices. As part of our rapid expansion in Asia, we are currently seeking a Governance Manager for our Philippines office. In this role, you will be part of our global Governance team, overseeing governance-related matters and supporting the management and development of a team of Governance professionals.

Responsibilities:

• Oversee day-to-day operations within the Governance team, including the preparation and review of legal documents and filings with multiple regulatory authorities across various jurisdictions.

• Draft, review, and enhance standardised and bespoke legal documentation, including letters, minutes, resolutions, agreements, and other corporate instruments.

• Manage and coordinate client onboarding activities, including bank account openings and ensuring Know Your Customer (KYC) and due diligence documentation is complete and compliant.

• Maintain strong client and stakeholder communication, ensuring timely delivery and effective resolution of operational issues.

• Oversee the execution of Anti-Money Laundering (AML) services, regulatory reporting, and tax reporting deliverables (including FATCA and CRS), ensuring all requirements and deadlines are met.

• Monitor relevant regulatory developments and support the implementation of updates to internal policies and processes.

• Lead, coach, and review the work of team members, fostering development and ensuring quality and consistency of deliverables.

• Identify and support process improvements and standardisation initiatives within the team.

• Escalate complex issues, risks, or client concerns to senior management as appropriate.

• Support internal initiatives, onboarding projects, and ad hoc assignments as required.

Ideal skills and competencies:

• Ideally, candidates will possess more than 10 years of progressive experience in governance, corporate services, fund administration, or compliance.

• Strong understanding of corporate governance, regulatory requirements, and KYC/AML frameworks.

• Proven experience in reviewing work, managing deliverables, and guiding junior team members.

• Excellent stakeholder management and communication skills.

• Strong attention to detail, organisation, and ability to manage multiple priorities.

• Proactive, solutions-driven, and client-focused approach.
